Job Description

The Corporate Legal Assistant will combine paralegal responsibilities and duties with an emphasis on administrative support of our General Counsel, including managing activities and calendars.

Primary Duties:

Assists General Counsel in scheduling and preparing for corporate meetings, court hearings, filing and other deadlines, and as otherwise directed
Receive and process employee/third party claims and incident reports, making sure to notify and update insurance carriers in a timely and effective manner, including ongoing developments
Directly interact with third party injury claimants and management of claims pre-litigation, and outside counsel on litigated matters.
Respond to subpoenas/document requests and maintain web-based database of the same.
Review and comment/edit vendor contracts submitted by various departments and restaurant locations to ensure the vendor contracts meet the requirements of the legal department and corporate governance.
Implement and manage a contract database to ensure each department's vendor contracts are compliant and properly entered into the database and cataloged.
Assist with the franchise agreement process including the updating franchise disclosure documents, preparing franchise agreements for execution, maintenance of the franchisee database and central franchisee files and research of advertising and marketing for franchise legal compliance.
Interact with both restaurant and corporate personnel related to claims, contract and lease support
Assist with obtaining and maintaining licenses and permits for company restaurants, including liquor license applications and renewals.
Obtain and renew DBA and service/trade marks for SRC and subsidiaries, including management and filing of annual reports for all restaurant and development entities, as well as assisting in formation of corporate entities.
Scheduling and coordinating across multiple calendar systems, including notifying General Counsel/Legal Department of deadlines and upcoming calendar events
Submitting check requests, coordinating legal department expenses, and preparing General Counsel for travel and other activities
Ensure accurate documentation that is proper, timely, and efficient
Create and Maintain legal and contract files, incident report files, EEOC charge files, lease files, shareholder files and other important documents/files
Manage and maintain board and shareholder minutes, as well as shareholder stock sale/transfer and shareholder database
Participates in Company Risk Management Activities


Document Preparation, Research, and Other Duties:

Provide support to General Counsel in preparation of contracts, agreements and other documents including, but not limited to proofreading, editing, finalizing, and processing of documents.
Proofreading and review of leases and other contracts
Update contract database for General Counsel and senior staff to determine how to address situations that may arise
Interact with licensing consultants to prepare permit and license applications.
Interact with outside counsel in responding to discovery requests and for contract preparation.
Maintain and utilize databases regarding lawsuits, EEO claims, and incident reports
Conduct legal research, research background material, index and summarize documents
Internal investigations of case facts to ensure all relevant information is available for consideration
Routine administrative activities such as filing, answering telephone, taking messages, organizing files/documents, typing, copying, scheduling, etc.



Requirements:
Experience/Education:

Minimum of 5 years of experience in law office or corporate legal department environment
Paralegal Certification preferred
Corporate legal background a major plus
Hospitality industry experience preferred
Certified Notary Public preferred, or willing to certify with company sponsorship


Required Skills:

Proficiency in Microsoft Word, Word Perfect, Excel, Outlook, Time Matters
Typing minimum of 80 wpm
Must have the ability to maintain a team atmosphere
Highly organized and detail oriented
Excellent interpersonal, verbal and written communication skills
Ability to identify issues and solutions in order to ensure multi-project completion
Ability to meet deadlines and work in a fast paced and highly demanding environment

Physical Demands:

This is an administrative office position in an office environment. Must be able to sit or stand for hours at a time. Occasionally required to lift boxes (25-40lbs).
